Frenzo is a mobile social networking service that allows its users to create their personal profiles from their mobile phone(s) using GPRS based networks provided by Mobile Operator(s). The Frenzo Service(s) provide features of connecting old and new friends, mobile chatting, messaging, photo upload, avatar and moods and may also include other features, content or applications offered from time to time.

This Terms of Use Agreement (“Agreement”) sets forth the legally binding terms and is made between ACL Wireless Limited (“Service Provider” or “ACL” or “We”) having their registered office at 104-107, Hemkunt Tower 98 Nehru Place New Delhi 110019 and you (the “User” or “you”)  which terms govern the conditions of use of the Frenzo services. By using the Frenzo services (the “Services”), you agree to be bound by this Agreement without any limitation or qualification, and to comply with any other guidelines that may be posted on Frenzo’s Site(s) (“frenzo.com , m.frenzo.com, me.frenzo.com, and frenzo.zain”) and rules applicable in addition to the terms of the applicable laws.

This Agreement includes the policies for the acceptable use of the Frenzo services along with the rights, obligations and restrictions regarding your use and Frenzo’s Privacy Policy. ACL grants you a limited license to access the links and use the services subject to your full compliance with these Terms of Use. ACL reserves the right to terminate your license to use the services at any time and for any reason or in the future charge for usage.

Personal Use Only   
ACL software and services are for personal, non commercial use only. Please choose carefully the information you post on Frenzo and that you provide to other users. Your Frenzo profile may not include the following items: telephone numbers, addresses and any photographs containing nudity, or obscene, lewd, excessively violent, harassing, sexually explicit or otherwise objectionable subject matter. Despite this prohibition, if any information provided by any members (for instance, in their profile) contains inaccurate, inappropriate, offensively or sexually explicit material, products or services, ACL assumes no responsibility or liability for this material since it would be breach of these Terms of Use and ACL reserves the right (without any prior notice) to block such User from continuing the facilities of Frenzo.

Appropriate Conduct and Content
It is hereby agreed by you that:

  • You are 18 years and older to use the Service. You are responsible for any activity that occurs under your username/Frenzo id.
  • These Terms of Use may be updated and modified by ACL in its sole discretion, from time to time and such update or modification shall be intimated by posting on the Frenzo site(s) and shall be effective thereon. You agree that your continued use of the Service after such an update will constitute your acceptance of and agreement to be bound by the updated Terms of Use. It is therefore important that you review this Agreement regularly to ensure you are updated as to any changes.
  • You may not proceed any further to use the Services or with the registration, if you do not agree with these Terms Of Use. Any registration for the use of Services shall be deemed acceptance of these Terms of Use.
  • This agreement for the use of Services between you and ACL shall be deemed concluded when ACL, upon your request (order), provides to you with access to the Services (such access may be based on a personal username and password generated for that purpose or on other data that ACL deems sufficient for your identification).
  • Any content downloaded or otherwise obtained through the use of the Service is done at your own discretion and risk, and you will be solely responsible for any damage or loss of data that results from the download or use of such content and you shall have no claim against ACL for the same.
  • ACL shall not be liable to you or any third party for any termination of your access to the Service or any part thereof.
  • Message/Content delivery is conditional to mobile operator's technical infrastructure and its network uptime and ACL has not guarantee or does not guarantee the Message/Content delivery from the mobile operator's technical infrastructure.
  • You shall be responsible for payment of the Service and the use thereof in accordance with the price lists as specified on Frenzo site(s), unless otherwise indicated, the charges for the use of the Service shall be collected by your mobile operator.
  • ACL reserves the right to change the price for the Service without notice by posting details of such changes on its Frenzo’s Site(s) or in other publicity materials.
  • ACL shall use reasonable efforts to keep the Service (or individual services supplied by ACL) available in accordance with the information that you receive about the same at the date of your acceptance of the Terms of Use. However, ACL may suspend the Service for repair, maintenance, and/or upgrade work without any notice and without assuming any liability therefor.
  • ACL reserves the right to modify or discontinue, temporarily or permanently, individual services provided by it or third parties via the Service, or the Services themselves. If a Service is or the Services are to be permanently discontinued, ACL will notify you. ACL may also, in appropriate circumstances and at its discretion, terminate your services who infringe the intellectual property rights of others and remove the allegedly infringing content, pending its investigation.
  • You understand that the content forming part of the Services is the sole responsibility of the person from whom such content originated. Unless explicitly stated to the contrary, ACL does not control the content posted via or made available using the services and does not warrant the accuracy, availability, integrity or quality of such content and in no circumstances ACL will be liable for any content, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of any content for any reason whatsoever.
  • The services are WAP driven and GPRS based and ACL may not be able to control the efficiency of all networks in their entirety over which the Services function. Therefore, ACL assumes no responsibility for any disruption to the Services in any manner whatsoever.
  • We cannot and do not guarantee that User Content you post on the service will not be viewed by unauthorized persons. We are not responsible for circumvent of any privacy settings or security measures contained on the service.
  • You understand and acknowledge that, even after removal, copies of User Content may remain viewable in cached and archived pages or if other Users have copied or stored your User Content.
  • You agree that Service Provider or representative duly authorised by Service Provider may contact you to take feedback on your experience and suggestions on how to improve Service(s). 
  • You agree that you will not use the Service for any illegal or unauthorized purpose. International users agree to comply with these Terms of Use and all local laws regarding the conduct and acceptable content. The illegal or unauthorized uses include, but are not limited to:
    • Harassing, threatening, embarrassment or causing distress or discomfort upon another user or other individual or entity; Modifying, adapting, translating or reverse engineering any portion of the services;
    • Is patently offensive and promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
    • Harasses or advocated harassment of another group, exploits people in a sexual or violent manner;
    • Contains nudity, violence or offensive subject matter or contains a link to an adult website;
    • Transmit any information, data text, files, links software, communication or other materials (“Content”) that ACL considers to be unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, racially, ethnically or otherwise objectionable;
    • Disrupt the normal flow of dialogue in the Service or otherwise act in a manner that negatively affects other participants;
    • Intentionally or unintentionally violate any applicable local, state, national or international law, including but not limited to any regulations having the force of law while using or accessing the Service in any manner;
    • Post pictures or recordings in any way which violates, plagiarizes or infringes upon the rights of any third party, including but not limited to any copyright or trademark law, privacy or other personal or proprietary rights, or is fraudulent or otherwise unlawful or violates any law. Posting of obscene pictures OR, pictures that are considered obscene under Indian law, is strictly forbidden;
    • Remove any copyright, trademark or other proprietary rights notices contained in or on the website;
    • Submit content that infringe, misappropriate or violate the intellectual property, publicity, privacy or other proprietary rights of any party;
    • Creating your accounts by automated means or under false or fraudulent pretenses;
    • Modify another website so as to falsely imply that it is associated with ACL;
    • Transmit any worms or viruses or any code of destructive nature;
    • In the use of services, violate any laws in your jurisdiction (including but not limited to copyright laws);
    • Using any robot, spider, site search/retrieval application, or other device to retrieve or index any portion of the services;

Intellectual Property
You acknowledge that ACL owns all rights, title and interest in Frenzo, related software’s and all portions thereof, including without limitation all Intellectual Property Rights. “Intellectual Property Rights” for the purpose of this clause means any and all rights existing from time to time under patent law, copyrights law, trade secret law, trademark law, unfair competition law, and any and all proprietary rights, and any and all applications, renewals, extensions and restorations thereof, now or hereafter in force and effect worldwide.
You shall not and shall not permit others to modify, adapt, translate, prepare derivative works from, decompile, reverse engineer, disassemble or otherwise attempt to derive source code from any software downloaded from the Frenzo’s Site(s). You shall not and shall not permit others to remove, obscure, or alter Frenzo’s or any third party's copyright notice, trademarks, or other proprietary rights notices affixed to or contained within or accessed in conjunction with or through the Service.

Third-party sites, products, and services
You understand and agree that our Services may include communications such as service announcements and administrative messages from us or from our partners and that these communications are considered part of the Services. You will not be able to opt out of receiving these messages. You also understand that our Services may include advertisements and agree to receive them by accepting our Terms of Use.

Our Services may contain links to other Internet sites owned by third parties. Your use of each of those sites is subject to the conditions, if any, that each of those sites has posted. We have no control over sites that are not ours, and we are not responsible for any changes to or content on them. Our inclusion on our sites / services of any third-party content or a link to a third-party site is not an endorsement of that content or third-party site.

We do not sell, resell, or license any of the products or the services that we review, list, or advertise on our services, and we disclaim any responsibility for or liability related to them. Your clicking on these links / correspondence or related activities with third parties, including payment transactions and goods-delivery transactions, are solely between you and that third party. You agree that we will not be responsible or liable for any loss or damage of any sort incurred as the result of any of your transactions with third parties. Any questions, complaints, or claims related to any product or service should be directed to the appropriate vendor.

Payment Terms & Transactions:
When you confirm a transaction on Frenzo, you agree to be bound by and pay for that transaction.
Pay attention to the details of the transaction, because your total price may include taxes, fees, which you are responsible for paying.
Don't commit to a transaction unless you are ready to pay, because all sales are final and non-refundable.
All gifts are virtual gifts/ static icons and not real/ tangible goods.

When you "purchase" a virtual gift from our gift shop, we commit to posting the gift and any accompanying message from you on the recipient's profile (or sharing it privately if you choose). Our obligation ends when we post the virtual gift and message.
Even though we use terms like "purchase," "buy," "sell," and "order" to talk about transactions related to virtual gifts, we don't transfer an ownership interest in those items. For example, the virtual gifts we make available through our gift shop are licensed to you, not sold.
We may cancel any transaction if we believe the transaction violates these Payments Terms or the Statement of Rights and Responsibilities, or we believe doing so may prevent financial loss.

WE MAKE NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO ANY PRODUCTS OR SERVICES SOLD ON OR THROUGH FRENZO.

Any and all transactions are governed by Frenzo terms of use and your agreement with respective carriers.

Limitation on Liability
In no event shall ACL be liable to you or any third party for any indirect, consequential, exemplary, incidental, special or punitive damages, including lost profit damages arising from your use of the services, even if ACL has been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, ACL’s liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to ACL for the services during the term of registration as member.

Disputes
ACL reserves the right to disclose information about you to applicable regulatory or government bodies where any of the actions of yours have breached these Terms of Use or where required by law to disclose this information. Although ACL shall make every effort, but cannot ensure, and will not be liable for the security and privacy of the information that you provide through using the Service.
ACL will cooperate fully with government/regulatory bodies involving any misuse. ACL is not responsible for any of the content or for any loss/damage incurred by use of the Services by you. ACL reserve the right to modify or discontinue the Service with or without notice to you.

Indemnity
You agree to indemnify and hold ACL, its subsidiaries and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand including reasonable attorney’s fees, made by any third party due to or arising out of your use of the services in violation of this Agreement and /or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above and /or if any content that you post on the website or through the services causes ACL to be liable to another.

Other
ACL is a company registered in India. This Agreement is accepted upon your use of the services and is further affirmed by you becoming a member. This Agreement constitutes the entire agreement between you and ACL regarding the use of the services. The failure of ACL to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. The Terms of Use and the relationship between ACL and you shall be governed by the laws of India without regard to its conflict of law provisions and the courts of New Delhi shall have the exclusive jurisdiction in relation to any matter arising out of or from these Terms of Use.
